About this role
Role Overview
Own Mantel's commercial contracts end-to-end: draft, negotiate, and close MSAs, NDAs, engineering service agreements, term sheets, licensing agreements, offtake agreements, strategic supply agreements, strategic partnership agreements and project-level commercial contracts
Take and defend clear positions on representations and warranties, indemnification, liability caps, IP ownership & governance, and dispute resolution
and know when to hold firm and when to negotiate
Develop and maintain standard form agreements and negotiation playbooks that keep Mantel's contracting process efficient and consistent
Maintain a clean contracts repository and ensure Mantel's obligations, rights, and key dates are tracked and enforced
Develop and manage external counsel relationships where specialized expertise is needed, keeping scope and cost tight
Contribute to the strategic framing of commercial deals, not just the legal terms, but the structure, risk allocation, and commercial logic behind them
Help Mantel build scalable commercial structures as the company moves from demonstration to full deployment
Support due diligence processes for partnerships, project financing, and government grants
Serve as a trusted, accessible internal legal resource across the organization

Work closely with the commercial, engineering, and finance teams to understand the deals Mantel is pursuing and the legal risks that actually matter
Draft and negotiate term sheets that set the right commercial and legal foundation before full agreements are executed
Own Mantel's licensing strategy from a contracts and legal perspective — understanding how IP rights, exclusivity provisions, grant-back clauses, and royalty structures interact with commercial objectives
Identify and push back on terms that create undue legal risk or limit Mantel's flexibility as the business scales
Requirements
5+ years of transactional legal experience, in private practice or in-house at a technology, energy, or industrial company; startup or early-stage company experience or exposure is a strong asset
Law degree required
You've negotiated real commercial contracts and know how to take a position, defend it, and close
You give practical advice that moves deals forward and you are solution oriented
counterparties and colleagues alike know you're someone who gets things done
You have genuine curiosity about carbon capture, industrial decarbonization, and the commercial landscape Mantel is operating in
