Securitize is a leader in tokenizing real-world assets and is seeking a Director, Stock Tokenization Product Manager to lead the end-to-end product lifecycle for stock tokenization. This role involves technical product management, deep integration with market infrastructure, and collaboration with key stakeholders in the financial ecosystem.
Responsibilities:
- Own the technical product roadmap for integrating with major U.S. and global market infrastructure operators — stock exchanges, alternative trading systems (ATS), central securities depositories, and clearinghouses
- Lead hands-on technical integration workstreams with exchange partners: define API specifications, data-layer requirements, order routing protocols, and settlement connectivity
- Attend on-site integration meetings in New York and serve as the primary technical product interface for these relationships
- Define product requirements for Reg NMS compliance during U.S. market hours, including NBBO alignment, order execution through Securitize Markets (broker-dealer), and post-trade reconciliation workflows
- Architect the settlement model for tokenized equities: deep understanding of traditional settlement processes (T+1/T+0, DTC/NSCC) is fundamental, but the target state is atomic delivery-versus- payment (DvP) settlement onchain — define the product path from legacy rails to instant, trustless settlement
- Architect the after-hours trading model: specify the smart-contract-based AMM pricing mechanism that reflects onchain supply and demand outside traditional market hours, enabling 24/7 trading
- Own the product evolution of Securitize’s DS Protocol for public equities. Define what adaptations, extensions, or new token standards are needed to support the specific characteristics of public stocks — corporate actions, rebasing, real-time price feeds — while maintaining backward compatibility with the existing platform and operational flows
- Define the product workflow for onboarding issuers: coordination with existing transfer agents or onboarding onto Securitize’s SEC-registered transfer agent, DRS migration for existing shareholders, and new issuance flows
- Own the product design for corporate actions automation via transfer-agent-driven smart contract workflows: stock splits (balance multiplier adjustments), dividends (onchain distribution to shareholder wallets as DRIP or via stablecoin), proxy voting, and reorganizations — all governed by issuer instructions and transfer-agent controls
- Ensure the cap-table-as-source-of-truth model is maintained — token holders are recorded as shareholders with direct ownership, not beneficial/entitlement ownership through intermediary chains
- Design off-chain bridge mechanisms for holders to migrate between tokenized and traditional share formats
- Architect the multi-venue distribution model: primary issuance onchain, secondary trading through Securitize Markets and approved venues, and progressive integration of external market makers into the trading flow
- Own the market maker integration workstream end-to-end: define the technical connectivity model (APIs, order flow routing, inventory management) for onboarding professional market makers, and work with them to design economically sustainable liquidity provision arrangements — including spread models, rebate structures, and capital-efficient inventory strategies that minimize the capital required to maintain tight, reliable markets
- Define the liquidity management framework: initial model with Securitize Markets as sole execution venue, evolving to a multi-maker ecosystem with appropriate broker-dealer licensing
- Ensure the economics incentivize consistent liquidity depth without over-reliance on Securitize’s own balance sheet
- Build the product framework for permissioned liquidity pools and trading venues — ensuring all transfers occur through whitelisted wallets with KYC/AML gating
- Design the investor access model across jurisdictions: U.S. offerings, international availability through Securitize’s regulated European entities, and issuer-level access controls
- Leverage Securitize’s existing DeFi protocol relationships — including integrations with major DEX infrastructure, lending protocols, and onchain liquidity routing systems — and adapt them for the specific characteristics and regulatory constraints of tokenized public equities
- Define the product strategy for making tokenized stocks composable within DeFi: use as collateral for borrowing, integration into structured products, and programmable yield strategies — while solving the unique challenges that public equities introduce, particularly the impact of corporate actions (rebasing from splits/dividends) on DeFi positions, lending pools, and collateral calculations
- Drive multi-chain strategy: work with blockchain protocol teams to enable cross-chain availability while maintaining compliance and permissioned wallet infrastructure
- Partner with custody providers, wallet infrastructure teams, and self-custody solutions to enable seamless onchain equity holding with full shareholder rights
- Ensure all DeFi integrations preserve the regulatory compliance layer — permissioned wallets, transfer restrictions, and issuer-rule enforcement via the DS Protocol — distinguishing Securitize from synthetic/derivative token models
- Translate SEC, FINRA, Reg NMS, Reg ATS, and emerging MiCA regulatory frameworks into detailed product specifications and engineering-ready requirements
- Extend the DS Protocol to address the specific regulatory challenges for public equities
- Track and incorporate evolving market structure developments (e.g., DTC’s blockchain-based digital twins initiative, EU tokenization frameworks) into the product roadmap
- Collaborate closely with legal, compliance, and regulatory affairs teams to ensure every product decision meets or exceeds applicable requirements
- Serve as the primary technical product counterpart in meetings with exchange operators, infrastructure providers, regulators, and strategic partners
- Coordinate cross-functionally across engineering, legal, business development, operations, and investor relations teams
- Present product vision, technical architecture, and integration roadmaps to C-suite leadership and board-level stakeholders
- Manage internal stakeholder alignment across a complex, multi-team initiative spanning regulated securities, blockchain engineering, and business strategy
Requirements:
- 8+ years of product management experience, with at least 4 years in capital markets technology, trading platforms, exchange infrastructure, or financial market plumbing
- Deep technical fluency in exchange connectivity and settlement: FIX protocol, order routing, market data feeds, NBBO mechanics, and thorough understanding of traditional settlement processes (T+1/T+0, DTC/NSCC). Understanding how these map to atomic DvP settlement models is essential
- Demonstrated hands-on experience integrating with or working at stock exchanges, ATS operators, clearinghouses, transfer agents, or central securities depositories
- Strong command of SEC and FINRA regulatory frameworks: Reg NMS, Reg ATS, broker-dealer operations, transfer agent rules, and public company reporting obligations
- Ability to translate complex technical and regulatory requirements into clear product specifications, user stories, and engineering-ready acceptance criteria
- Exceptional stakeholder management — comfortable operating credibly in rooms with exchange executives, regulators, and C-level leadership
- Based in or willing to relocate to the New York metro area. This role requires regular in-person presence for partner meetings and industry engagement
- Working knowledge of blockchain and DeFi technology: smart contracts, ERC-20 token standards, compliance-aware token protocols (e.g., security token frameworks with embedded transfer restrictions), AMM mechanics, and decentralized protocol architecture
- Familiarity with real-world asset (RWA) tokenization infrastructure, digital securities issuance, and the regulatory landscape around security tokens. Experience with service-based token architectures (compliance services, registry services, trust/role management) is a strong plus
- Understanding of how corporate actions (dividends, splits, reorganizations) interact with DeFi primitives — rebasing mechanics, collateral revaluation, and position management across lending and liquidity protocols
- Prior experience at or in deep technical partnership with a major stock exchange, ATS, or market infrastructure provider
- Understanding of cross-border regulatory frameworks including MiCA and EU tokenization regulations
- Track record of shipping 0-to-1 products in highly regulated financial services environments
- Experience working with transfer agents on cap table management, corporate actions processing, and shareholder recordkeeping
