Review assigned commercial contracts, identify legal and business risks, and lead negotiations on routine to moderately complex customer, supplier, channel partner, and services agreements in line with corporate standards and approved fallback positions.
Serve as a primary point of contact for assigned contract negotiations, coordinating with sales, finance, operations, compliance, and legal stakeholders to resolve open issues and support deal velocity.
Apply and maintain negotiation playbooks, clause guidance, and escalation frameworks for key commercial terms, including payment, liability, indemnity, warranty, confidentiality, data protection, compliance, and order of precedence.
Support negotiation and administration of partner, distributor, reseller, and other channel agreements, including tracking approvals, renewals, amendments, and commercial obligations.
Provide timely, practical communications to sales teams on matter status, contract requirements, and negotiation next steps.
Receive, triage, and respond to legal matter inquiries, coordinating with other departments as needed.
Perform due diligence tasks and coordinate post-acquisition integrations.
Support contract lifecycle management tools, AI contract review tools, and Sensors & Safety Systems legal matter intake processes.
Track legal KPIs and recommend process or system improvements to increase efficiency.
Maintain global legal templates and playbooks in coordination with Ralliant Law & Compliance team members.
Perform other related duties as assigned, including duties for broader Ralliant Law & Compliance division.
Requirements
Demonstrated commercial contracting experience, including reviewing, redlining, and negotiating customer, supplier, partner, or services agreements.
Sound judgment in assessing contractual risk, applying approved playbook positions, and escalating legal, financial, compliance, or business issues when appropriate.
Ability to handle sensitive and confidential company information with absolute discretion.
Comfort using legal operations technology and a practical, inquisitive approach to problem-solving.
Strong organizational and project management skills, including the ability to prioritize concurrent projects, drive completion, and report progress and risks.
Ability to work confidently with leaders and cross-functional teams and contribute to operational improvements.
Strong verbal, written, and presentation skills.
Must be a U.S. person, as defined under applicable U.S. export control laws and regulations.
Bachelor’s degree in business, finance, or a related field preferred; equivalent experience or paralegal certification may be considered.
5-7 years of experience in commercial contracting, contract administration, legal operations, sales operations, procurement, or a related business-facing role; in-house legal department experience strongly preferred.
Experience with legal operations tools, including contract lifecycle management tools, Microsoft 365, SharePoint, Power BI, and AI contract review tools preferred.
