About this role
Role Overview
Advisory and strategic work in Corporate Law and Corporate Governance, with experience in publicly-held companies and in environments regulated by the Brazilian Securities Commission (CVM) and B3 (Brazil Stock Exchange).
Drafting, reviewing and negotiating corporate instruments, including minutes of general meetings, board of directors and committee meetings, shareholders’ agreements, articles of association and corporate policies.
Legal support for corporate governance routines, corporate secretariat duties and relationships with board members, executive management, investors and external auditors.
Management of regulatory obligations for publicly-held companies, including Reference Forms, material facts, market communications and other periodic and ad hoc disclosures.
Advising on corporate transactions, corporate reorganizations, capital increases, dividend distributions, mergers and legal due diligence.
Requirements
University degree (Law);
Experience in Corporate Law and Corporate Governance;
Experience handling regulatory obligations of publicly-held companies;
Knowledge of corporate compliance, risk management, business ethics and implementation of internal policies;
Advanced/Fluent English.
